Adobe license allows you to install PS on two machines as long as you own both and only use one instance of PS at a time.
If you already have it installed on two machines and try and reinstall it, they will refuse.
If you do a fresh install of Win 7 there is no way you can go back and deregister Adobe products on your old OS (XP) since the disk is wiped.

I suppose the only thing then is to explain to them what happened.

This was the advice I read in an article on upgrading to Win 7 from XP as a clean install.

Better to be on the safe side me thinks.
